The Role

Gridworks is a pioneering project development and investment platform which invests in critical power infrastructure as a developer, long-term owner and partner to governments, utilities, and companies in Transmission and Distribution (T&D) and off-grid electricity networks in Africa. Gridworks was established in 2019 and is wholly owned by British International Investment plc (BII), the UK’s Development Finance Institution (DFI) and impact investor. BII has been investing to create more productive, sustainable and inclusive economies in Africa, Asia and the Caribbean for over 70 years and has assets worth £8.1billion.

About the role

The purpose of Gridworks’ Board is to provide leadership to the company and to ensure the organisation’s long-term sustainability and ability to achieve its developmental and commercial objectives while meeting the strategic aims of its stakeholders.

Gridworks’ Board is composed of an Independent Chair, three further Independent Non-Executive Directors (NEDs) and two shareholder nominee NEDs as well as the CEO. The Board is seeking to appoint two Independent NEDs to complement the existing Board’s breadth and depth to support the further development of the company.

Gridworks is particularly interested in strengthening the Board’s industry, technical and project execution expertise and is eager to appoint two NEDs with strong utility (and preferably Transmission & Distribution) backgrounds.

Key dimensions of the role

The Gridworks’ NEDs are responsible for the good governance of the business and for oversight of the executive management. They ensure that the business operates in line with corporate strategy and in alignment with the objectives of the shareholders. They also manage risk, monitor performance, ensure regulatory compliance and manage stakeholder relations. NEDs provide advice and expertise and contribute broadly to the success of the organisation.

Skills and experience

Candidates for the NED positions will have a track record of Board level contribution gained in the electricity utility industry. Ideally, they will bring first-hand experience of T&D network design, construction and operations and/or a wider understanding of the commercial aspects of energy infrastructure investment and development. Candidates are likely to have had exposure to the energy sector in an emerging markets context and will understand the political, economic, social, technical and logistical challenges of operating in such environments. The NEDs will be committed, engaged and aligned with Gridworks’ transformational goal to deliver economic and social benefit through increased access to reliable energy in Africa.
